1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern your use of the Grant Lotus Agency website and our talent management services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

Grant Lotus Agency is a trading name registered in UAE and Wales. Our registered address is Oxford Tower, Business Bay, Dubai, UAE.

2. Service Description

Grant Lotus Agency provides talent management services including but not limited to:

  • Talent representation and booking management
  • Portfolio development and creative direction
  • Career strategy and mentorship
  • Brand partnership facilitation
  • Event talent sourcing and coordination
  • Training workshops and professional development
  • International market placement

The specific services provided to each talent or client depend on the agreed service tier and representation agreement.

3. Ordering & Booking Services

3.1 For Talent

To engage our talent management services, you must:

  • Be at least 16 years of age (parental consent required for under-18s)
  • Complete our application process and be accepted onto our roster
  • Sign a representation agreement
  • Select and subscribe to an appropriate service tier
  • Provide accurate and up-to-date personal information and portfolio materials

3.2 For Clients

To book talent through our agency, clients must:

  • Submit a booking request detailing requirements, dates, and budget
  • Agree to our booking terms and talent usage rights
  • Provide a signed booking confirmation before the engagement date
  • Comply with all applicable employment and health and safety regulations

4. Payment Terms

4.1 Talent Subscriptions

Monthly subscription fees are due on the first of each month and are payable by bank transfer, direct debit, or credit/debit card. Fees are non-refundable except where required by law. We reserve the right to adjust pricing with 60 days written notice.

4.2 Client Payments

Client invoices are issued upon booking confirmation. Standard payment terms are 30 days from invoice date. Late payments incur interest at 4% above the Bank of UAE base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. A rush fee of 25% applies to bookings confirmed less than 48 hours in advance.

4.3 Talent Earnings

Talent earnings from bookings are processed within 30 days of receipt of client payment. Our standard commission is 20% for UK bookings and 25% for international bookings. Detailed earning statements are provided for every booking.

5. Cancellation Policy

5.1 Subscription Cancellation

Talent may cancel their subscription with 30 days written notice. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. Upon cancellation, your profile will be removed from our active roster within 14 days.

5.2 Booking Cancellation

Cancellation fees apply as follows:

  • More than 14 days notice: No cancellation fee
  • 7-14 days notice: 25% of the agreed booking fee
  • 48 hours to 7 days notice: 50% of the agreed booking fee
  • Less than 48 hours notice: 100% of the agreed booking fee

Force majeure events are exempt from cancellation fees, assessed on a case-by-case basis.

6. Intellectual Property

All content on this website, including text, images, graphics, logos, and design elements, is the property of Grant Lotus Agency or its licensors and is protected by UK and international copyright laws. You may not reproduce, distribute, or create derivative works from any content without our express written permission.

Portfolio images of talent are owned by the respective photographers and are used under licence for promotional purposes. Usage rights for any talent imagery in client projects must be negotiated separately as part of the booking agreement.

7. Liability

7.1 Limitation of Liability

To the maximum extent permitted by law, Grant Lotus Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

7.2 Exclusions

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any matter which cannot be excluded by law

7.3 Indemnification

You agree to indemnify and hold harmless Grant Lotus Agency, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms or misuse of our services.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our business relationship. This includes but is not limited to client lists, booking rates, business strategies, and personal information of talent.

9. Website Use

You agree not to:

  • Use the website for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Introduce viruses or malicious code
  • Scrape, harvest, or collect data from the website without permission
  • Use the website in a manner that could damage, disable, or impair its functionality

10. Third-Party Links

Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of these external sites. Inclusion of any link does not imply endorsement.

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, the matter may be referred to mediation under the Centre for Effective Dispute Resolution (CEDR) rules before any court proceedings are initiated.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of UAE and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of UAE and Wales.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

14. Amendments

We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of our services after changes constitutes acceptance of the revised Terms.
